Entire Agreement and Regulatory Compliance. This instrument contains the entire Agreement of the parties hereto with respect to the subject matter hereof and supersedes all prior agreements or understandings between the parties hereto relating to the subject matter hereof. This Agreement may not be changed orally but only by an agreement in writing signed by the Employee and the Employers. Part 359 (Golden Parachute and Indemnification Payments), the amount of such payment shall be reduced to the largest amount that could be paid on such date consistently with such provision of the FDIA or rule adopted thereunder.
