Entire Agreement and Variation. This Agreement including its schedules and any attachments: (a) constitutes the entire agreement between the parties as to its subject matter; (b) in relation to that subject matter, supersedes any prior understanding or agreement between the parties (including any term sheet or letter of intent) and any prior condition, warranty, indemnity or representation imposed, given or made by a party; and (c) may only be amended in writing signed by both parties.
