Common use of Entire Agreement and Variation Clause in Contracts

Entire Agreement and Variation. 7.1 This agreement constitutes the entire agreement between the parties and supersedes and extinguishes all previous drafts, agreements, arrangements and understandings between them, whether written or oral, relating to its subject matter. 7.2 Each party agrees that it shall have no remedies in respect of any representation or warranty (whether made innocently or negligently) that is not set out in this agreement. Each party agrees that its only liability in respect of those representations and warranties that are set out in this agreement (whether made innocently or negligently) shall be for breach of contract. 7.3 No variation of this agreement shall be effective unless it is in writing and signed by each of the parties (or their authorised representatives).
