Entire Agreement, Counterparts, Order of Precedence. This Agreement constitutes the entire agreement with respect to the subject matter contained herein and supersedes all prior or contemporaneous oral or written agreements concerning such subject matter (including any purchase orders and non-disclosure or confidentiality agreements). The parties agree that this Agreement, and any Call-Off hereunder, may only be modified by a written amendment signed by both parties that expressly amends the terms contained therein. This Agreement may be executed in multiple counterparts, which together will constitute one and the same instrument.
