Common use of Entire Agreement; Further Assurances Clause in Contracts

Entire Agreement; Further Assurances. This Agreement together with Exhibit A attached hereto, constitutes the entire agreement and understanding between and among the Parties with respect to the subject matter hereof, and supersedes any other prior written or oral agreement or understandings between and among the Parties with respect to the subject matter hereof. Each Party shall, at the other Party’s request, execute and deliver such instruments or take such other actions as may be reasonably requested to effectively carry out the terms and provisions of this Agreement.

Entire Agreement; Further Assurances. This Agreement together with Exhibit Agreement, including Exhibits A and B attached hereto, constitutes the entire agreement and understanding between and among the Parties with respect to the subject matter hereofParties, and supersedes any other prior written or oral agreement or contemporaneous negotiations, understandings between and among the Parties agreements, with respect to the subject matter hereof. Each Party shall, at the other Party’s request, shall execute and deliver such instruments or further documents and take such other further actions as may be required or reasonably requested by the other Party to effectively carry out effectuate the terms and provisions purposes of this Agreement.

In addition, the terms of any purchase order or other purchasing document issued for this Engineering Design Project, and prepared and executed subsequent to signing this Agreement, shall not be applicable to this Agreement other than to provide for funding as identified herein. Each Party shall, at the other Party’s request, party shall execute and deliver such instruments or further documents and take such other further actions as may be required or reasonably requested by the other party to effectively carry out effectuate the terms and provisions purposes of this Agreement.

Entire Agreement; Further Assurances. This Agreement together with Exhibit A attached hereto, supersedes any prior or contemporaneous agreements between the Parties relating to this Agreement’s subject matter and constitutes the sole and entire agreement and understanding between and among of the Parties with respect to the subject matter hereofmatters contained in this Agreement, and supersedes any other prior written representation, inducement, promise, or agreement, whether oral agreement or understandings between written, which pertains to those matters and among the Parties with respect to the subject matter hereofis not embodied in this Agreement shall be of no force or effect. Each Party shall, at the other Party’s request, shall execute and deliver such instruments documents and perform such acts that are or take such other actions as may be reasonably requested become necessary to effectively effectuate and carry out the terms and provisions purposes of this Agreement.

All prior agreements, understandings and supersedes any other prior written or oral agreement or understandings between and among the Parties with respect to the subject matter hereofrepresentations are hereby merged into this Agreement. Each Party shall, at the shall execute and/or cause to be delivered to each other Party’s request, execute and deliver Party such instruments or and other documents, and shall take such other actions actions, as such other Party may be reasonably requested to effectively carry request (prior to, at or after the Execution Date) for the purpose of carrying out or evidencing any of the terms and provisions of this Agreementtransactions contemplated hereunder.
