Common use of Entire Agreement; Further Assurances Clause in Contracts

Entire Agreement; Further Assurances. This Agreement and the Bonus Agreement described in Section 3.2 hereof, constitute the entire agreement between the parties pertaining to Employee’s employment as Vice President of SCP and all prior negotiations, and agreements, whether written or oral, are merged into this Agreement. Each party hereto agrees to execute and deliver such other documents, agreements or instruments and to take such further action as may be reasonably requested by the other party hereto for the implementation of this Agreement and the consummation of the transaction contemplated hereby.
