Entire Agreement; No Reliance; Counterparts. (a) This Agreement, the Confidentiality Agreement (to the extent consistent with the terms of this Agreement), the Support Agreements and the Company Disclosure Letter constitute the entire agreement and supersede all prior agreements and understandings, both written and oral, among or between any of the parties with respect to the subject matter hereof and thereof.
