(a) This Agreement constitutes the entire understanding between McAfee and Company relating to its subject-matter and supersede all oral or written proposals, and all communications between the parties relating to its subject-matter. This Agreement, including all document incorporated by reference, as well as the Grant Letter will prevail, notwithstanding any variance with any purchase order or other written instrument submitted by Company, whether or not expressly rejected by McAfee.
