Common use of Entire Contract Clause in Contracts

Entire Contract. This Contract, including Attachments, which are attached hereto and incorporated herein by this reference, when accepted by the Contractor either in writing or by the shipment of any article or other commencement of performance hereunder, contains the entire Contract between the Parties with respect to the matters herein and there are no restrictions, promises, warranties or undertakings other than those set forth herein or referred to herein. No exceptions, alternatives, substitutes or revisions are valid or binding on County unless authorized by County in writing. Electronic acceptance of any additional terms, conditions or supplemental Contracts by any County employee or agent, including but not limited to installers of software, shall not be valid or binding on County unless accepted in writing County’s Purchasing Agent or his designee.

Entire Contract. No exceptions, alternatives, substitutes or revisions are valid or binding on County either Party unless authorized by County agreed to in writing. Electronic acceptance of any additional terms, conditions or supplemental Contracts contracts by any County employee or agent, including but not limited to installers of softwareequipment, shall not be valid or binding on County unless accepted in writing by County’s Purchasing Agent or his designee, hereinafter “Purchasing Agent”.
