Common use of Entire Memorandum Clause in Contracts

Entire Memorandum. This Memorandum constitutes the entire Memorandum and understanding of the parties with respect to the subject matter hereof, and supersedes all previous negotiations, commitments and writings, and there are no other Memorandums of Understanding, oral or written, between the parties with respect to the subject matter hereof. This Memorandum may not be amended, altered or modified except in writing signed by the parties.

Entire Memorandum. This Memorandum constitutes the entire Memorandum agreement between the Parties and understanding of the parties with respect supersedes all prior oral or written agreements, understandings, representations, and warranties relating to the subject matter hereofof this Memorandum. All exhibits, attachments, and supersedes all previous negotiations, commitments recitals referred to in this Memorandum are incorporated and writings, deemed to be part of this Memorandum. Any changes or waivers of provisions of this Memorandum shall only be valid when they have been reduced to writing and there are no other Memorandums of Understanding, oral or written, between the parties with respect to the subject matter hereof. This Memorandum may not be amended, altered or modified except in writing signed by the partiesParties as an amendment to this Memorandum. Headings are provided for convenience and are not a part of this Memorandum.
