Common use of Enurement and Assignment Clause in Contracts

Enurement and Assignment. The rights and obligations contained in this Agreement shall be binding upon and inure to the benefit of Company, its assigns, and its successors. Company, but not Vice President, shall have the right to assign its rights under this Agreement without Vice President’s consent. In the event that Company assigns its rights and obligations under this Agreement to Surviving Company, Company’s obligations under this Agreement shall be extinguished and Surviving Company shall be solely liable for any obligations to Vice President under this Agreement
