Common use of Environment, Health, and Safety Clause in Contracts

Environment, Health, and Safety. 23.4.1. The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall comply with the laws and regulations in force related to protection of the environment, the health and safety instructions applicable to the Goods and Services performed pursuant to the Contract and especially, if appropriate, to the Goodsand Services performedon any Site by a third company. 23.4.2. The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall also comply with the internal rules at the Purchaser and/or Customer’s site(s) where it may have to work for the purpose of performance of the Contract including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.3. In the eventof presence or activity of the Supplier (and/or any sub-supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotification, correspondingtothirtynine thousand Renminbi (39 000 CNY) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application of applicable employment laws, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. 23.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall comply with the laws and regulations in force related to protection of the environmentenvironmentand notably the requirements of the National Environmental Management Act N° 107 of 1998,, the health and safety applicable laws and regulations, and notably the provisions of the Occupational Health and Safety Act N° 85 of 1993, together with the health and safety instructions applicable to the Goods and Services performed pursuant to the Contract and especially, if appropriate, to the Goodsand Goods and Services performedon performed on any Site by a third company. 23.4.224.4.2. The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall also comply with the internal rules at the Purchaser and/or Customer’s site(s) where it may have to work for the purpose of performance of the Contract including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.324.4.3. In the eventof presence or activity of the Supplier (and/or any sub-supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to one hundred thousand Renminbi South African Rands (39 000 CNY) per ZAR 100,000.00)per event, without prejudice (i) to the possibility for the Purchaser to ask toask for the replacement of replacementof its staff member or the staff thestaff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsfor 23.4.524.4.5. In application of compliance with any local applicable employment lawslaws and regulation, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. The Supplier shall, in its role as an employer, complywith such applicable lawsandregulation andtherebycooperatewith the Purchaser for the proper implementation of these measures. 23.4.624.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall also comply with the internal rules at the Purchaser and/or Customer’s site(s) where it may have to work for the purpose of performance of the Contract including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.325.5.3. In the eventof presence or event ofpresenceor activity of the Supplier (and/or any sub-supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating proofrelating to such qualification upon suchqualificationupon Purchaser’s request. Additionally, the Supplier shall consider any Suppliershall considerany hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.425.5.4. If Unless otherwise stipulated in the Contract, if the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.425.5, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationliquidated damages and without any prior official notification, correspondingtothirtynine corresponding to four lakh fifty thousand Renminbi Indian Rupees (39 000 CNY4,50,000 INR) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application agents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of applicable employment laws, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. 23.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier breach of its obligations as set out and/or warranties under the Contractthis Article 25.5, with no limits in case of death, bodily injury, or damages to property.

In the eventof event of presence or activity of the Supplier (and/or any sub-sub- supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine thousand Renminbi corresponding to AUD$7000 (39 000 CNYseven thousand) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application agents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of applicable employment laws, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. 23.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier breach of its obligations as set out and/or warranties under the Contractthis Article 24.4, with no limits in case of death, bodily injury, or damages to property.

In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.325.4.3. In the eventof presence theeventofpresence or activity of the Supplier (and/or any sub-supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or and/or internal rules mentioned under this Article 23.425.4, the Purchaser is entitled to apply to the SupplierSupplier shall, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotification, correspondingtothirtynine thousand Renminbi (39 000 CNY) per event, without prejudice upon Purchaser’s request (i) to the possibility for the Purchaser to ask for the replacement of replace its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for terminate Supplier’s sub-suppliers and/or subcontractors contracts. In addition, the Purchaser to may terminate the Contract for Supplier’s default or to ask for the default. The Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to shall indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application of applicable employment laws, the Purchaser must take all appropriate measures to ensure the safety agents against any and security as well as the physical and mental health of all employees present on its premises. 23.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.all

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to two million six hundred thousand Renminbi tenge (39 000 CNY) per 2600000 KZT)per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless andholdharmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of the breach of its obligations and/or warranties under this Article 24.4, with no limits in case of death, bodily injury, or damages to property. 23.4.524.4.5. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to one hundred twenty five thousand Renminbi Mexican pesos (39 000 CNY125000 MXN) per event, tobe paid in local currency, converted on the payment date, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsto 23.4.524.4.5. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to five thousand Renminbi euros (39 000 CNY5000€) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement toaskfor thereplacementofits staffmember or thestaffmember of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iii) for the Supplier to indemnify and hold theSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In the eventof presence or activity oractivity of the Supplier (and/or any and/orany sub-supplier and/or subcontractorand/orsubcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may bemaybe, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating theSuppliershallensureappropriatepersonneltrainingandqualificationandsubmitanyproofrelating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards anyhazards associated with Site conditions, installations and/or machinery nearbyand/ormachinerynearby. More generallyMoregenerally, Supplier shallSuppliershall, at all atall times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.425.5.4. If Unless otherwise stipulated in the Contract, if the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any complywithany of the laws, regulation and or internal rules mentioned under this andorinternal rulesmentionedunderthis Article 23.425.5, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationliquidated damages and without any prior official notification, correspondingtothirtynine corresponding to four lakh fifty thousand Renminbi Indian Rupees (39 000 CNY4,50,000 INR) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- memberofits sub-supplier and/or subcontractorand/orsubcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-sub- suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application of applicable employment lawsagents against any and all liabilities, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. 23.4.6. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the SupplierSupplier shall, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotification, correspondingtothirtynine thousand Renminbi (39 000 CNYupon Purchaser’s request(i) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of replace its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier breach of its obligations as set out and/or warranties under the Contractthis Article 24.4.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotification, correspondingtothirtynine thousand Renminbi a fine equal to six million South Korean Won (39 000 CNY6,000,000 KRW) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement removal andreplacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breachbreach and the Supplier shall comply with the Purchaser’s direction and provide a replacement immediately at its own costs, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the . The Supplier to shall indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application agents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of applicable employment lawsthe breach of its obligations and/or warranties under this Article 24.4, the Purchaser must take all appropriate measures with no limits in case of death, bodily injury, or damages to ensure the safety and security as well as the physical and mental health of all employees present on its premisesproperty. 23.4.624.4.5. The Supplier shall ensure that its employees engaged are medically fit to carry out their works under the Contract 24.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to five thousand Renminbi euros (39 000 CNY5000€) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsto 23.4.524.4.5. In application of Articles L. 4121-1 et seq. of the Romanian Code of Employment and relevant EHS applicable employment lawslegislation, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. The Supplier shall, in its role as an employer, also apply the relevant EHS applicable legislation and thereby cooperate with the Purchaser for the proper implementation of these measures. 23.4.624.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to twenty two thousand Renminbi AED (39 000 CNY22000AED) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a resultof thebreachofitsobligationsand/orwarrantiesunderthis Article 24.4, withnolimits in case of death, bodily injury, or damages to property. 23.4.524.4.5. In application accordance with UAE Federal Law No. 8 of applicable employment laws1980 (as amended), the Purchaser must take musttake all appropriate measures appropriatemeasures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. The Supplier shall cooperate with the Purchaser for the proper implementation of these measures. 23.4.624.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

The Supplier to shall indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. The Supplier shall ensure that its employees engaged are medically fit to carry out their works under the Contract. 24.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.425.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to five thousand Renminbi euros (39 000 CNY5000€) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member toaskfor thereplacementofits staffmember or the staff member of its sub- thestaffmemberofitssub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iii) for the Supplier to indemnify and hold theSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of the breach 23.4.525.4.5. In application of applicable employment lawsDutch Working Conditions Act (Arbowetgeving) and its implementing decrees and regulations , the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. 23.4.625.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall also comply with the internal rules at the Purchaser and/or Customer’s site(s) where it may have to work for the purpose of performance of the Contract including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent moststringent standard shall apply. 23.4.324.4.3. In the eventof presence or activity oractivity of the Supplier (and/or Supplier(and/or any sub-supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery and/ormachinery nearby. More generally, Supplier shall, at all atall times, comply with the Purchaser and/or Customer internal rulesCustomerinternalrules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent moststringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules internalrules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case nocase shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to twenty two thousand Renminbi AED (39 000 CNY22000AED) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- supplier and/or subcontractorand/orsubcontractor, responsible of the breachthebreach, and/or (iiand/or(ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result ofthe breach ofitsobligationsand/orwarrantiesunderthis Article 24.4, withnolimits in case of death, bodily injury, or damages to property. 23.4.524.4.5. In application accordance with UAE Federal Law No. 8 of applicable employment laws1980 (as amended), the Purchaser must take musttake all appropriate measures appropriatemeasures to ensure the safety and security as well as wellas the physical and mental health of all employees present on its premises. The Supplier shall cooperate with the Purchaser for the proper implementation of these measures. 23.4.624.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under outunder the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules internalrules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the SupplierSupplier liquidated damages and without any prior official notification, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotification, correspondingtothirtynine corresponding to five thousand Renminbi pounds (39 000 CNY5000£) per event, without prejudice (iprejudice(i) to the possibility for the Purchaser to ask for the replacement of its staff member tothepossibilityforthe Purchasertoaskforthereplacementofitsstaffmember or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (iiand/or(ii) to the possibility thepossibility for the Purchaser to terminate the Contract for Purchasertoterminatethe Contractfor Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application agents against any and all liabilities, claims, expenses, loss and/or damagewhichmayariseasaresultofthebreachofitsobligations and/orwarrantiesunder this Article 24.4, with nolimits in case of applicable employment lawsdeath, the Purchaser must take all appropriate measures bodily injury, or damages to ensure the safety and security as well as the physical and mental health of all employees present on its premisesproperty. 23.4.624.4.5. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under outunder the Contract.

In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.325.4.3. In the eventof event of presence or activity of the Supplier (and/or any sub-supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.425.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.425.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to five thousand Renminbi euros (39 000 CNY5000€) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of the breach of its obligations and/or warranties under this Article 25.4, with no limits in case of death, bodily injury, damages to property, intent/intention or gross negligence. The Supplier expressly accepts this contractual provision. 23.4.525.4.5. In application of Romanian Code of Employment and relevant EHS applicable employment lawslegislation, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises.. The Supplier shall, in its role as an employer, also apply the relevant EHS applicable legislation and thereby 23.4.625.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is Purchaseris entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to six thousand Renminbi US dollars (39 000 CNY6000 USD) per event, to be paid in local currency, converted on the payment date, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iiiand/or(iii) for the Supplier to indemnify and hold fortheSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of the breach of its obligations and/or warranties under this Article 24.4, with no limits in case of death, bodily injury, or damages to property. 23.4.524.4.5. In the eventof presence or activity oractivity of the Supplier (and/or any and/orany sub-supplier and/or subcontractorand/orsubcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may bemaybe, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating theSuppliershallensureappropriatepersonneltrainingandqualificationandsubmitanyproofrelating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards anyhazards associated with Site conditions, installations and/or machinery nearbyand/ormachinerynearby. More generallyMoregenerally, Supplier shallSuppliershall, at all atall times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.425.5.4. If Unless otherwise stipulated in the Contract, if the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any complywithany of the laws, regulation and or internal rules mentioned under this andorinternal rulesmentionedunderthis Article 23.425.5, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationliquidated damages and without any prior official notification, correspondingtothirtynine corresponding to four lakh fifty thousand Renminbi Indian Rupees (39 000 CNY4,50,000 INR) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- memberofits sub-supplier and/or subcontractorand/orsubcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-sub- suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application agents against any and all liabilities, claims, expenses, loss and/ordamagewhichmay arise as a result of applicable employment laws, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. 23.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier thebreach of its obligations as set out under the Contractand/orwarranties underthis Article 25.5, with no limits in case of death, bodily injury, or damages to property.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is Purchaseris entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to f thirty three thousand Renminbi Brazilian Réals (39 33 000 CNYRéals) per event, to be paid in local currency, converted on the payment date, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentssub- 23.4.524.4.5. In application of applicable employment laws, the Purchaser must take all appropriate The Purchasermusttakeallappropriate measures to ensure the safety ensurethesafety and security as well as the physical and mental health of all employees present on its premises. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall comply with the laws and regulations in force related to protection of the environment, the health and safety instructions applicable to the Goods and Services performed pursuant to the Contract and especiallyContractandespecially, if appropriate, to the Goodsand Services performedon performed on any Site by a third company. 23.4.225.4.2. The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall also comply with the internal rules at the Purchaser and/or Customer’s site(s) where it may have to work for the purpose of performance of the Contract including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent moststringent standard shall apply. 23.4.325.4.3. In the eventof presence or activity of the Supplier (and/or any theeventofpresence oractivity ofthe Supplier(and/orany sub-supplier and/or supplierand/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all atall times, comply with the Purchaser and/or Customer internal rulesCustomerinternalrules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent moststringent standard shall apply. 23.4.425.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules internalrules mentioned under this Article 23.425.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case nocase shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to five thousand Renminbi euros (39 000 CNY5000€) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member toaskforthereplacementofits staffmemberorthestaffmemberofitssub-supplierand/or the staff member of its sub- supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iiiand/or(iii) for the Supplier to indemnify and hold fortheSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of the breach of its obligations and/or warranties under this Article 25.4, with no limits in case of death, bodily injury, or damages to property. 23.4.525.4.5. In application accordance with UAE Federal Law No. 8 of applicable employment laws, the 1980 (as amended) The Purchaser must take musttake all appropriate measures appropriatemeasures to ensure the safety and security as well as wellas the physical and mental health of all employees present on its premises. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under outunder the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.425.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to thirty three thousand Renminbi Brazilian Réals (39 33 000 CNYRéals) per event, to be paid in local currency, converted on the payment date, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iii) for the Supplier to indemnify and hold theSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all 23.4.525.4.5. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractorand/orsubcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to twenty thousand Renminbi New Israeli Shekels (39 000 CNY) per 20000 NiS)per event, without prejudice withoutprejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breachresponsibleof thebreach, and/or (ii) to the possibility thepossibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application agents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a resultof thebreach of applicable employment lawsitsobligationsand/orwarrantiesunderthis Article 24.4, the Purchaser must take all appropriate measures withnolimits in case of death, bodily injury, or damages to ensure the safety and security as well as the physical and mental health of all employees present on its premisesproperty. 23.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.3. 26.8.3 In the eventof event of presence or activity of the Supplier (and/or any sub-sub- supplier and/or subcontractor) on any Purchaser and/or Customer third parties Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer third parties internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.4. 26.8.4 If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.426.8, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine thousand Renminbi corresponding to AUD$700 (39 000 CNYseven hundred) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application of applicable employment laws, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. 23.4.6. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to four million four hundred fifty seven thousand Renminbi Chilean pesos (39 000 CNY4 457000 CLP) per event, without prejudice to be paidin local currency, convertedon thepaymentdate, withoutprejudice (i) to the possibility thepossibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breachresponsibleof thebreach, and/or (ii) to the possibility thepossibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a resultof thebreach of itsobligationsand/orwarrantiesunderthis Article 24.4, withnolimits in case of death, bodily injury, or damages to property. 23.4.524.4.5. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationliquidated damages and without any prior official notification, correspondingtothirtynine thousand Renminbi corresponding to Four Lac Fifty Thousand (39 000 CNY4,50,000 INR) per event, without prejudice withoutprejudice (i) to the possibility thepossibility for the Purchaser to ask for the replacement of its replacementofits staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (iiand/or(ii) to the possibility for the Purchaser to terminate the Contract for tothepossibilityfor thePurchasertoterminatethe Contractfor Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall comply with the laws and regulations in force related to protection of the environment, the health and safety instructions applicable to the Goods and Services performed pursuant to the Contract and especially, if appropriate, to the Goodsand Services performedon any Site by a third company. 23.4.224.4.2. The Supplier and its staff (and/or any sub-supplier and/or subcontractor) shall also comply with the internal rules at the Purchaser and/or Customer’s site(s) where it may have to work for the purpose of performance of the Contract including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.324.4.3. In the eventof presence or activity of the Supplier (and/or any sub-supplier and/or subcontractor) on any Purchaser and/or Customer Site, the Supplier, and any sub-supplier and/or subcontractor, as the case may be, the Supplier shall ensure appropriate personnel training and qualification and submit any proof relating to such qualification upon Purchaser’s request. Additionally, the Supplier shall consider any hazards associated with Site conditions, installations and/or machinery nearby. More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damagesandwithoutany prior official notification, correspondingtothirtynine corresponding to ninety six thousand Renminbi EGP (39 000 CNY96000 EGP) per eventevent , without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agentsto 23.4.524.4.5. In application of applicable employment lawsthe Egyptian Labour Law, the Purchaser must take all appropriate measures to ensure the safety and security as well as the physical and mental health of all employees present on its premises. The Supplier shall, in its role as an employer, also apply the Egyptian Labour Law articles related to taking all appropriate measures to ensure the safety and security as well as the physical andmental health of all employees present on its premisesandthereby cooperatewith the Purchaser for the properimplementation of these measures. 23.4.624.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

More generally, Supplier shall, at all times, comply with the Purchaser and/or Customer internal rules, including EHS rules and requirements, as applicable. In case of conflict between different EHS requirements, the most stringent standard shall apply. 23.4.424.4.4. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotification, correspondingtothirtynine a fine equal to one hundred eighty thousand Renminbi Thai Baht (39 000 CNY180,000 THB)(i) per event, without prejudice (i) to the possibility for the Purchaser to ask for the removal and replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breachbreach and the Supplier shall comply with the Purchaser’s direction and provide a replacement immediately at its own cost, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the . The Supplier to shall indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application agents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of applicable employment lawsthe breach of its obligations and/or warranties under this Article 24.4, the Purchaser must take all appropriate measures with no limits in case of death, bodily injury, or damages to ensure the safety and security as well as the physical and mental health of all employees present on its premisesproperty. 23.4.624.4.5. The Supplier shall ensure that its employees engaged are medically fit to carry out their works under the Contract. 24.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is Purchaseris entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to five thousand Renminbi euros (39 000 CNY5000€) per event, without prejudice (i) to the possibility for the Purchaser Purchaser 24.4.5. The Purchasermusttakeallappropriatemeasures to ask for the replacement of its staff member or the staff member of its sub- supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless the Purchaser, its affiliates, officers, employees and agents 23.4.5. In application of applicable employment laws, the Purchaser must take all appropriate measures to ensure the safety ensurethesafety and security as well as the physical and mental health mentalhealth of all employees present on its premises. 23.4.624.4.6. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to fifty thousand Renminbi (39 000 CNY50,000) NOK per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement toaskfor thereplacementofits staffmember or thestaffmember of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iii) for the Supplier to indemnify and hold theSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of the breach of its obligations and/or warranties under this Article 24.4, with no limits in case of death, bodily injury, or damages to property. 23.4.524.4.5. The Supplier shall be fully responsible and commits to take all necessary measures ensuring the safety and security as well as the physical and mental health of all its employees who could have to travel in whatever country for the proper execution by the supplier of its obligations as set out under the Contract.

If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.425.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to twenty two thousand Renminbi Peruvian Sole (39 22 000 CNYPEN S) per event, to be paid in local currency, converted on the payment date, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iii) for the Supplier to indemnify and hold theSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all 23.4.525.4.5. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.425.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine corresponding to six thousand Renminbi US dollars (39 000 CNY6000 USD) per event, to be paid in local currency, converted on the payment date, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors sub- suppliersand/orsubcontractors contracts, and/or (iii) for the Supplier to indemnify and hold theSuppliertoindemnify andhold harmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all 23.4.525.4.5. If the Supplier’s staff (and/or any sub-supplier and/or subcontractor) fail to comply with any of the laws, regulation and or internal rules mentioned under this Article 23.424.4, the Purchaser is entitled to apply to the Supplier, penalties which in no case shall be considered asliquidateddamagesandwithoutanypriorofficialnotificationas liquidated damages and without any prior official notification, correspondingtothirtynine thousand Renminbi (39 000 CNYcorresponding to thirty seven thousands Danish Kroner(37000DKK) per event, without prejudice (i) to the possibility for the Purchaser to ask for the replacement of its staff member or the staff member of its sub- sub-supplier and/or subcontractor, responsible of the breach, and/or (ii) to the possibility for the Purchaser to terminate the Contract for Supplier’s default or to ask for the Supplier to terminate its sub-suppliers and/or subcontractors contracts, and/or (iii) for the Supplier to indemnify and hold harmless andholdharmless the Purchaser, its affiliates, officers, employees and agentsagents against any and all liabilities, claims, expenses, loss and/or damage which may arise as a result of the breach of its obligations and/or warranties under this Article 24.4, with no limits in case of death, bodily injury, or damages to property. 23.4.524.4.5.
