Environmental Consents. All material Environmental Consents required in relation to the FrenchCo Business and the Properties have been obtained and are being complied with in all material respects.
Environmental Consents. “Environmental Consents” shall mean any material permit, license, authorization, approval or consent required under Environmental Laws for the carrying on of the FrenchCo Business or the use of, or any activities or operations carried out at, any Site owned or occupied by Smithfield France or the Subsidiaries.
Environmental Consents. To the extent that environmental permits are not obtained by the Closing Date, the parties agree to use Best Efforts to obtain the transfer of such permits as promptly as possible following the Closing Date.
Environmental Consents. To the best of the Seller’s knowledge, all Environmental Consents required for any activities at any Property or otherwise in connection with the businesses and activities of the Target Companies, have been obtained and are being complied with in all material respects.
Environmental Consents. All Environmental Consents required for any activities at the Property or related to the Company insofar as it operates on the Norwegian Continental Shelf have been obtained and are being complied with in all material respects.
Environmental Consents. The consummation of the Merger and the other transactions pursuant to this Agreement by the Company does not require the consent or pre-approval of any Governmental Entity under any Environmental Law.
Environmental Consents. All Environmental Consents which are material to and are required for the carrying on of any activities by any Target Company have been obtained by the relevant Target Company and are being complied with in all material respects; and so far as the Sellers are aware, there are no circumstances indicating that any such material Environmental Consent is likely to be suspended, cancelled, revoked or not renewed in the ordinary course.
Environmental Consents. So far as the Seller is aware, all Environmental Consents required for any activities at any Property have been obtained and are in full force and effect.
1. Folder 5 of the Data Room contains:
(a) full and accurate details of the contracts of employment for all the Key Managers (including details of their respective salaries, length of service and notice periods);
(b) copies of the standard terms and conditions of employment applicable to Employees of the Target Companies and, save for terms contained in applicable Law, they contain all material details of the current contractual terms and benefits of each of the Employees, whether or not recorded in writing;
(c) details of material share incentive schemes, profit sharing, bonus or other incentive schemes applicable to Employees; and
(d) details of all material agreements which each Target Company has entered into with any trade union, works council or similar body representing Employees.
2. The Employees listed in folders 5.21, 5.3 and 5.12 of the Data Room are the only employees, directors and officers of, and persons employed by or otherwise appointed by, any Target Company.
Environmental Consents. All material Environmental Consents required for the activities carried out by the Target Companies at any site have been obtained and are valid and subsisting, and so far as the Sellers are aware, have been and are being complied with in all material respects.
Environmental Consents. So far as the Unilever Parents are aware, all Environmental Consents required for any activities at any Relevant Property have been obtained, are in full force and effect and are being complied with in all material respects and no Company or Business Seller has received written notice from a Governmental Entity stating that any Environmental Consent is to be suspended or revoked.
