Key Managers. Notwithstanding the foregoing, the Partnership shall have the right to disapprove of Manager's choice for hiring or designation of key managers of the Resort, whether such managers shall be employees of the Partnership or Manager. Such key managers shall include the Resort's general manager, food and beverage manager, casino manager, controller, executive assistant manager and other managers whose annual compensation exceeds $100,000 per year.

Key Managers. With respect to the key managers identified on Schedule 7.2(c) hereof, in the event Purchaser terminates (for any reason) the employment of up to three of them within the period between sixty and one-hundred-twenty days following the Closing, Purchaser shall notify Seller. At the time of termination of each such key manager, Purchaser shall pay such employee severance under Purchaser's policy plus such additional amount as would in total equal the severance benefit such employee would have received from Seller and Purchaser shall obtain a release from such employee including on behalf of Seller. Seller shall reimburse Purchaser for the total amount of the severance paid to such employee (but not exceeding what such employee would have received under Seller's severance policy) plus the amount of salary and cost of benefits for the period between the sixty-first day following Closing and the date of termination of such employee's employment with Purchaser.

The eligibility of the Key Managers to participate in these payments will be conditional on their waiving their right to any compensation in respect of share scheme rights which did not fully vest on the change of control of O2, to which they would otherwise be entitled under their service contracts if their employment was terminated in the twelve months following the Unconditional Date. Payments will be conditional on the Key Managers (i) not having given notice to resign their employment; and (ii) not having been dismissed summarily (i.e. without notice or any payment in lieu of notice) in accordance with their service contract, in both cases prior to the second anniversary of the Unconditional Date and, subject thereto, will be made on that date.
