Environmental-related Conditions Precedent to Obligations of Buyer. Any environmental contingency or condition precedent in the Agreement in favor of Buyer shall be deemed satisfied if all of the conditions set forth in this Section 1.9 are fulfilled on or before the Contingency Date (the “Condition Date”), or if the Buyer waives any such conditions in its sole discretion. In the event any of the conditions set forth in this Section 1.9 are not fulfilled or waived on or before 6:00 p.m. (local time at the Property) on the Condition Date, either Seller or Buyer may, by written notice to the other party on or before the Condition Date, terminate the Agreement, whereupon the Deposit shall be returned to Buyer, and all other rights and obligations of each party under the Agreement shall be at an end except those that expressly survive any termination. If Buyer fails to provide such written notice to Seller on or before the Condition Date, Buyer shall be deemed to have waived such condition.
