Equipment Lien. In addition to the security deposit, currently held by Landlord, Tenant hereby agrees to pledge as security, the Tenant’s property consisting of machinery, trade equipment, business and trade fixtures, refrigeration equipment, cabinetry, countertops, tables and chairs, and other trade equipment whether presently placed or installed or hereafter placed or installed at said Premises and including substitutions, accessions, additions and replacements thereof or thereto by Tenant, subtenants of Tenant or assignees of Tenant. All rent, reasonable expenses of retaking, holding, preparing for sale or lease, selling or otherwise disposing of Tenant’s property, together with reasonable attorney’s fees and court costs are secured by this agreement. Tenant represents and warrants that it is the owner of Tenant’s property except for the security interest granted by this agreement. The term “Tenant’s property” shall not include or be deemed to include any item now or hereinafter installed in the Premises that is an integral part of the Building, including, without limiting the generality of the foregoing, heating plants and systems and air conditioning, electrical and plumbing fixtures, and other like equipment and fixtures. All such items now or hereafter installed in the Premises by Tenant, Landlord or Tenant’s sub-Tenant or Tenant’s assigned belong to the Landlord upon installation. At no time will the Landlord agree to sign a Waiver from any lending institution and/or finance company regarding its rights to the “Tenant’s property”. In addition to Landlord’s lien pursuant to Chapter 83, Florida Statutes, Tenant hereby grants to and in favor of Landlord a security interest in Tenant’s right, title and interest in and to Tenant’s Property during the Term, and authorizes Landlord to file and/or record any and all UCC Financing Statements and Amendments thereto as Landlord shall from time to time deem necessary in connection with such security interest. Tenant will keep Tenant’s property in good condition and repair, reasonable wear and tear excepted. Tenant will permit Landlord and its agents to inspect Tenant’s Property at any time without prior notice. Tenant shall be in default under this Lease if Tenant removes, replaces or sells Tenant’s property without the written consent of Landlord. Equipment Lien. 10.1. If LESSEE intends to dispose of the EQUIPMENT under this instrument, LESSEE has the preference on the acquisition, under the same conditions and prices of third parties, which shall be notified thereon in writing at least in fifteen (15) days. If the term ends and LESSEE has not expressed an interest in making the acquisition, the EQUIPMENT shall be disposed to the interested party.
Equipment Lien. To secure payment of the 8% Note and 4% Note, in addition to the continuing security interest of the Sellers in and to the New Certificates pursuant to the terms of the Security Agreement, the Shareholders will be further granted a lien on all Equipment described in Schedule 4.13 of this Agreement located at the NY Property and the NC Property. This Equipment Lien will be subordinate only to the lien granted to Buyer's Primary Institutional Lender, but will remain a first lien as to all other creditors. Equipment Lien. As required pursuant to Rule 26(6) of the USF Rules, all equipment deployed by the Telecenter Service Provider in establishing Telecenters shall be subject to a lien exercisable by USFCo pursuant to the documented terms of the lien and Section 4.02 (a) (iv). The lien shall have a maximum value equal to the total value of subsidy, minus the value of land, building and OPEX subsidy. The Telecenter Service Provider shall execute, concurrently with this BOT Agreement, a Letter of Lien as at Schedule G to substantiate the lien and to support its enforceability. The Telecenter Service Provider shall, prior to execution of the lien, obtain and provide to USFCo the unconditional no objection certificates of its secured creditors so as to enable USFCo to register the equipment lien with the relevant Company Registration Office of the Securities and Exchange Commission of Pakistan.

  • Assemble Collateral Lender may require Grantor to deliver to Lender all or any portion of the Collateral and any and all certificates of title and other documents relating to the Collateral. Lender may require Grantor to assemble the Collateral and make it available to Lender at a place to be designated by Lender. Lender also shall have full power to enter upon the property of Grantor to take possession of and remove the Collateral. If the Collateral contains other goods not covered by this Agreement at the time of repossession, Grantor agrees Lender may take such other goods, provided that Lender makes reasonable efforts to return them to Grantor after repossession.

  • Possessory Collateral Immediately upon Borrower’s receipt of any portion of the Collateral evidenced by an agreement, Instrument or Document, including, without limitation, any Tangible Chattel Paper and any Investment Property consisting of certificated securities, Borrower shall deliver the original thereof to Lender together with an appropriate endorsement or other specific evidence of assignment thereof to Lender (in form and substance acceptable to Lender). If an endorsement or assignment of any such items shall not be made for any reason, Lender is hereby irrevocably authorized, as Borrower’s attorney and agent-in-fact, to endorse or assign the same on Borrower’s behalf.

  • Equipment and Inventory With respect to any Equipment and/or Inventory of an Obligor, each such Obligor has exclusive possession and control of such Equipment and Inventory of such Obligor except for (i) Equipment leased by such Obligor as a lessee or (ii) Equipment or Inventory in transit with common carriers. No Inventory of an Obligor is held by a Person other than an Obligor pursuant to consignment, sale or return, sale on approval or similar arrangement.

  • Security Interest in Financed Vehicles Immediately prior to the transfer of the Receivables by the Depositor to the Trust, each Receivable was secured by a valid, binding and enforceable first priority perfected security interest in favor of the Seller in the related Financed Vehicle, or all necessary and appropriate actions shall have been commenced that would result in the valid perfection of a first priority security interest in favor of the Seller in the Financed Vehicle, which security interest has been validly assigned by the Seller to the Depositor pursuant to the Receivables Purchase Agreement and by the Depositor to the Trust hereunder.
