Equity-Based Awards. During the Term, the Executive shall be eligible to receive grants of awards under any equity incentive plan of Intelsat S.A. as in effect from time to time, subject to the terms and conditions of such plans and programs. For the sake of clarity, the Executive's entitlement to any specific award, and the terms and conditions of such award, shall be in the sole discretion of the Compensation Committee of the Board, or its authorized designee(s).
