Neither the Company nor any ----------------------------- member of the Company's controlled group (within the meaning of Section 4001 of ERISA) has incurred (or reasonably expects to incur) any material liability to the Pension Benefit Guaranty Corporation or any material liability under Title IV of ERISA, and there are no circumstances that might result in the imposition of a lien on any of the assets of the Company pursuant to ERISA Sections 302 or 4068 or Section 412 of the Internal Revenue Code of 1986, as amended.
