Escrow Agent Compensation a. Fee Schedule. Escrow Agent is entitled to be paid its standard fees and expenses applicable to the services provided as such fees are listed on Schedule A attached hereto and incorporated herein by this reference. For any service not listed on Schedule A, Escrow Agent will provide a quote prior to rendering the service, if requested.
Escrow Agent Compensation. The Company shall pay to the Escrow Agent such compensation for services to be performed by it under this Agreement as the Company and the Escrow Agent may agree in writing from time to time. The Escrow Agent shall be paid any compensation owed to it directly by the Company and shall not disburse from the Escrow Account any such amounts. The Company shall reimburse the Escrow Agent upon request for all reasonable expenses, disbursements, and advances incurred or made by the Escrow Agent in implementing any of the provisions of this Agreement, including compensation and the reasonable expenses and disbursements of its counsel. The Escrow Agent shall be paid any such expenses owed to it directly by the Company and shall not disburse from the Escrow Account any such amounts.

Escrow Agent shall be entitled to receive compensation for its services as Escrow Agent hereunder as set forth on the schedule attached hereto and made a part hereof as Exhibit A, which compensation shall be paid by Company. Notwithstanding anything contained in this Escrow Agreement to the contrary, in no event shall any fee, reimbursement for costs and expenses, indemnification for any damages incurred by Escrow Agent, or monies whatsoever be paid out of or chargeable to the income or assets in the Escrow Account held by Escrow Agent.

The Leasing Company shall pay to the Escrow Agent such compensation for services to be performed by it under this Agreement as the Leasing Company and the Escrow Agent may agree in writing from time to time. The Escrow Agent shall be paid any compensation owed to it directly by the Leasing Company and shall not disburse from the Leasing Company Escrow Account any such amounts. The Leasing Company shall reimburse the Escrow Agent upon request for all reasonable expenses, disbursements, and advances incurred or made by the Escrow Agent in implementing any of the provisions of this Agreement, including compensation and the reasonable expenses and disbursements of its counsel. The Escrow Agent shall be paid any such expenses owed to it directly by the Leasing Company and shall not disburse from the Leasing Company Escrow Account any such amounts. The provisions of this Section 2(d) shall survive termination of this Agreement.
Escrow Agent Compensation. (i) Escrow Agent and any Acceptable Replacement Escrow Agent shall be compensated pursuant to a separate agreement between the Company and Escrow Agent or such Acceptable Replacement Escrow Agent.
Escrow Agent Compensation. The Company shall pay to the Escrow ------------------------- Agent such compensation for services to be performed by it under this Agreement as the Company and the Escrow Agent may agree in writing from time to time. The Escrow Agent shall be entitled to disburse from the Accounts all such amounts due to the Escrow Agent as agreed upon by the Company and the Escrow Agent (including the reasonable expenses described in the next succeeding paragraph). The Escrow Agent shall disburse such amounts due to the Escrow Agent, if any, from the Escrow Account and the Refinancing Account on a pro rata basis. --- ---- The Company shall reimburse the Escrow Agent upon request for all reasonable expenses, disbursements, and advances incurred or made by the Escrow Agent in implementing any of the provisions of this Agreement, including compensation and the reasonable expenses and disbursements of its counsel, except any such expense, disbursement, or advance as may arise from the Company's gross negligence or willful misconduct.
Escrow Agent Compensation. Except as hereinafter provided, Escrow Agent shall be reimbursed solely by Parent for all actual out-of-pocket expenses incurred in performing the services required hereunder. The fees of the Escrow Agent (which shall not exceed $200 per month in the aggregate) and any replacement Escrow Agent shall be paid solely by Parent.
