Common use of Escrow Agent Fees and Expenses Clause in Contracts

Escrow Agent Fees and Expenses. IdleAire shall pay the Escrow Agent its reasonable fees and expenses, including all reasonable expenses, charges, counsel fees and other disbursements incurred by it or by its attorneys, agents and employees in the performance of its duties and obligation under this Agreement. If not paid by IdleAire within 30 days of when due, fees costs and expenses payable to Escrow Agent hereunder may be paid by Escrow Agent from interest earned on the Escrow Fund, but the principal of the Escrow Funds shall not be charged or offset against the Escrow Fund.
