Escrow Agent Fees. Escrow Administration Fee: $100.00 for each break letter after the first four $750.00 escrow account fee The fees quoted in this schedule apply to services ordinarily rendered in the administration of an Escrow Account and are subject to reasonable adjustment based on final review of documents, or when the Escrow Agent is called upon to undertake unusual duties or responsibilities, or as changes in law, procedures, or the cost of doing business demand. Services in addition to and not contemplated in this Escrow Agreement, including, but not limited to, document amendments and revisions, non-standard cash and/or investment transactions, calculations, notices and reports, and legal fees, will be billed as extraordinary expenses. Extraordinary fees are payable to the Escrow Agent for duties or responsibilities not expected to be incurred at the outset of the transaction, not routine or customary, and not incurred in the ordinary course of business. Payment of extraordinary fees is appropriate where particular inquiries, events or developments are unexpected, even if the possibility of such things could have been identified at the inception of the transaction. Unless otherwise indicated, the above fees relate to the establishment of one escrow account. Additional sub-accounts governed by the same Escrow Agreement may incur an additional charge. Transaction costs include charges for wire transfers, internal transfers and securities transactions.

Escrow Agent Fees. All fees of the Escrow Agent for performance of its duties hereunder shall be paid by IEC in accordance with the standard fee schedule of the Escrow Agent. It is understood that the fees and usual charges agreed upon for services of the Escrow Agent shall be considered compensation for ordinary services as contemplated by the Escrow Instructions. In the event that the conditions of the Escrow Agreement are not promptly fulfilled, or if the Escrow Agent renders any service not provided for in the Escrow Instructions or if the parties request a substantial modification of its terms, or if any controversy arises, or if the Escrow Agent is made a party to, or intervenes in, any litigation pertaining to the Escrow Fund or its subject matter, the Escrow Agent shall be reasonably compensated for such extraordinary services and reimbursed for all costs, attorney's fees, including allocated costs of in-house counsel, and expenses occasioned by such default, delay, controversy or litigation. IEC promises to pay these sums upon demand.

Escrow Agent Fees. The Company hereby agrees to pay the Escrow Agent for the opening and maintenance of the Escrow Account, incidental expenses and all services provided by the Escrow Agent under the Escrow Agreement, of even date herewith, by and between the Company, the Investor and the Escrow Agent. The Company agrees to pay the Escrow Agent reasonable fees, including fees of counsel on behalf of the Investor for the preparation of the Equity Line Agreement and related documents, which fees shall equal two percent (2%) of the total amount of funding provided to the Company by the Investor under the Equity Line Agreement (collectively, "Escrow Fees"). The Company does hereby agree to indemnify and hold the Agent harmless as to the payment of any such Escrow Fees, in accordance with the provisions of Section 8.1 of this Agreement.
