Escrow Agent Fees. As compensation for services performed by it pursuant to this Agreement, the Escrow Agent shall be entitled to receive from the Company the fees set forth on Schedule A hereto; such fees shall be deducted from Escrow Income (as defined in such Schedule A), and the Company shall pay to the Escrow Agent on demand any portion of such fees which remains unpaid following the final Closing.
