Escrow and Modification of Source Code. Consultant shall, at its sole cost and expense, place a copy of the source codes of the Consultant-Owned Software and any proprietary or custom developed software (for the ATMS Project) -- or subcontractor-Owned Software into escrow with a licensed escrow agent subject to approval by NYSDOT. NYSDOT approval shall not be unreasonably withheld.
