Establishment of Agency. The Agent will hold the Special Voting Share and the benefit of the Support Agreement in order to enable the Agent to execute the Voting Rights and will hold the Exchange Right and the Automatic Exchange Rights in order to enable the Agent to exercise such rights, in each case as Agent for and on behalf of the Beneficiaries as provided in this Agreement.
