Common use of Events of Default by Service Provider Clause in Contracts

Events of Default by Service Provider. Each of the following is an event of default: 12.2.1. The Service Provider does not perform the Services as agreed; or 12.2.2. The Service Provider does not comply with any provision of the Agreement or any Agreement Document; or 12.2.3. The Service Provider defaults under any other agreement with the District, and the default remains unresolved for 60 calendar days; or 12.2.4. A representation or warranty in this Agreement is or was not true as of the date made; or 12.2.5. The Service Provider loses a license or other credential or qualification that is required to perform under this Agreement; or 12.2.6. The Service Provider becomes a debtor in any proceeding in bankruptcy, whether voluntary or involuntary, or is the subject of any other insolvency proceeding or appointment for the benefit of creditors, and any such proceeding remains un-dismissed for more than 60 calendar days; or 12.2.7. The Service Provider or any of its employees, agents, Subcontractors, or volunteers performing the Service Provider’s duties under this Agreement are convicted of a crime that renders the Service Provider no longer able or permitted to perform Services; or 12.2.8. The District determines in its sole discretion that the Service Provider’s actions or inaction, or the action or inaction of any of the Service Provider’s employees, agents, or Subcontractors, is a threat or danger to the District or any of the District Constituents.
