Common use of Events of Material Breach by Department Clause in Contracts

Events of Material Breach by Department. Any failure by Department to pay QESP any sum due and owing for more than days after written notification by QESP that Department is delinquent in making payment, shall constitute a Material Breach, provided that QESP is not itself in default in its performance under the terms of this SOW.
