Events of Withdrawal. A General Partner will cease to be a General Partner of the Partnership on the occurrence of any of the following events of withdrawal: A. the General Partner voluntarily withdraws as a General Partner from the Partnership as provided by Section 11.02 hereof; B. the General Partner is removed as a General Partner in accordance with Section 11.04 hereof; C. if it is determined in the manner specified in Section 11.05 below that such event shall constitute an event of withdrawal, the Managing General Partner: 1. makes a general assignment for the benefit of creditors;
