Events of Withdrawal. A General Partner may not voluntarily withdraw from the Partnership at any time. A General Partner, however, will be deemed to have withdrawn from the Partnership on the occurrence of any one of the following events (each event herein referred to as an "Event of Withdrawal"): (a) A General Partner is removed as a general partner pursuant to Section 12.2; or (b) A General Partner transfers all of its right, title and interest as a General Partner other than as permitted in Article XI.
