Common use of Evidence of Corporate Action Clause in Contracts

Evidence of Corporate Action. The Lender shall have received certified copies of all corporate or other required action taken by each Borrower to authorize this Agreement, the Loan Documents and the borrowing hereunder, and such other documents as the Lender may reasonably require relating to the existence of the Borrowers, the authority for and the validity of this Agreement, the Note and the Warrants, and any other matters relevant hereto, all in form and substance satisfactory to Lender's counsel, and indicating the name and title of the officer or officers of each Borrower authorized to sign this Agreement and the Loan Documents.
