Common use of EVIDENCE OF DEBT AND ACCOMMODATION NOTICES Clause in Contracts

EVIDENCE OF DEBT AND ACCOMMODATION NOTICES. (a) The indebtedness of the Borrower resulting from Accommodations under the Credit Facility shall be evidenced by the records of the Administrative Agent acting on behalf of the Lenders which shall constitute prima facie evidence under the Credit Facility of such indebtedness. (b) Prior to the receipt of any Accommodation Notice, the Administrative Agent may act upon the basis of a notice by telephone (containing the same information as required to be contained in the Accommodation Notice) believed by it in good faith to be from an authorized person representing the Borrower. In the event of a conflict between the Administrative Agent’s record of any Accommodation and the Accommodation Notice, the Administrative Agent’s record shall prevail, absent manifest error.
