Common use of Evidence of Execution and Delivery of Subsidiary Guarantee Clause in Contracts

Evidence of Execution and Delivery of Subsidiary Guarantee. (a) To further evidence each Subsidiary Guarantee referred to in Section 11.01 hereby, each Subsidiary Guarantor shall agree that a notation of such Subsidiary Guarantee, substantially in the form of Exhibit J herein, shall be endorsed on each Note authenticated and delivered by the Trustee. Each such endorsement shall be executed on behalf of each Subsidiary Guarantor by either manual or facsimile signature of two Officers of each Subsidiary Guarantor, each of whom, in each case, shall have been duly authorized to so execute by all requisite corporate action. The validity and enforceability of any Subsidiary Guarantee shall not be affected by the fact that it is not affixed to any particular Note.

(a) To further evidence each Subsidiary Guarantee referred to in Section 11.01 10.1 hereby, each Subsidiary Guarantor shall agree that a notation of such Subsidiary Guarantee, substantially in the form of Exhibit J hereinF hereto endorsed by such Subsidiary Guarantor, shall be endorsed on attached to each Note authenticated and delivered by the TrusteeTrustee after the date the Trustee receives such Subsidiary Guarantee. Each such endorsement shall be executed on behalf of each Subsidiary Guarantor by either manual or facsimile signature of two Officers of each Subsidiary Guarantor, each of whom, in each case, shall have been duly authorized to so execute by all requisite corporate action. The validity and enforceability of any Subsidiary Guarantee shall not be affected by the fact that it is not affixed to any particular Note.
