In such case, the transferee or other recipient shall receive and hold the Option Shares so transferred subject to the provisions of this SectionSection 12, and there shall be no further transfer of such Option Shares except in accordance with the terms of this Section.

Anything to the contrary contained in this Section notwithstanding, the transfer of any or all of the Shares shares of Optioned Stock during the Optionee’s lifetime or on the Optionee’s death by will or intestacy to the Optionee’s immediate family or a trust for the benefit of the Optionee’s immediate family shall be exempt from the provisions of this Section. “Immediate Family” as used herein shall mean spouse, lineal descendant or antecedent, father, mother, brother or sister. In such case, the transferee or other recipient shall receive and hold the Shares shares of Optioned Stock so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares shares of Optioned Stock except in accordance with the terms of this Section.

Exception for Certain Family Transfers. Anything to the contrary contained in this Section notwithstanding, the transfer of any or all of the Shares during the Optionee’s Purchaser's lifetime or on the Optionee’s Purchaser's death by will or intestacy to the Optionee’s Purchaser's immediate family or a trust for the benefit of the Optionee’s Purchaser or Purchaser's immediate family shall be exempt from the provisions of this Section. “Immediate Family” as As used herein herein, "immediate family" shall mean spouse, lineal descendant or antecedent, father, mother, brother or sister. In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares except in accordance with the terms of this Section.

In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares except in accordance with the terms of this Section.

In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this SectionSection 1, and there shall be no further transfer of such Shares except in accordance with the terms of this SectionSection 1.

Anything to the contrary contained in this Section 2 notwithstanding, the transfer Transfer of any or all of the Shares during the Optionee’s Purchaser's lifetime or on the Optionee’s Purchaser's death by will or intestacy to the Optionee’s immediate family Purchaser's Immediate Family or a trust for the benefit of the Optionee’s immediate family Purchaser's Immediate Family shall be exempt from the provisions Right of this SectionFirst Refusal. “As used herein, "Immediate Family” as used herein " shall mean spouse, lineal descendant or antecedent, father, mother, brother or sistersister or stepchild (whether or not adopted). In such case, the transferee or other recipient shall receive and hold the Shares so transferred Transferred subject to the provisions of this SectionSection (including the Right of First Refusal) and the Restricted Stock Purchase Agreement, as applicable, and there shall be no further transfer Transfer of such Shares except in accordance with the terms of this Section.

In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares except in accordance with the terms of this Section.

Anything to the contrary contained in this Section (l) notwithstanding, the transfer of any or all of the Shares during the OptioneeParticipant’s lifetime or on the OptioneeParticipant’s death by will or intestacy to the OptioneeParticipant’s immediate family or a trust for the benefit of the OptioneeParticipant’s immediate family shall be exempt from the provisions of this SectionSection (l). “Immediate Family” as used herein shall mean spouse, lineal descendant or antecedent, father, mother, brother or sister. In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this SectionAgreement, including but not limited to this Section (l) and Section (i), and there shall be no further transfer of such Shares except in accordance with the terms of this SectionSection (l).

In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares except in accordance with the terms of this Section.

Anything to the contrary contained in this Section notwithstanding, the transfer of any or all of the Shares during the Optionee’s 's lifetime or on the Optionee’s 's death by will or intestacy to the Optionee’s immediate family or a trust for the benefit of the Optionee’s immediate family 's Family Members shall be exempt from the provisions of this Section. “Immediate Family” "Family Members" as used herein shall mean spouse, lineal descendant or antecedent, father, mother, brother or sisterhave the same meaning as such term has in Rule 701 of the Securities Act of 1933 ("Rule 701") and any transfer permissible under Rule 701 shall be permissible under this Section 7(f). In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares except in accordance with the terms of this Section.

Exception for Certain Family Transfers. Anything Notwithstanding anything to the contrary contained elsewhere in this Section notwithstandingSection, the transfer of any or all of the Released Shares during the OptioneeHolder’s lifetime or on the OptioneeHolder’s death by will or intestacy to the OptioneeHolder’s immediate family spouse, child, father, mother, brother, sister, or to a trust or other similar estate planning vehicle for the benefit of Holder or any of the Optionee’s immediate family foregoing persons, shall be exempt from the provisions of this Section. “Immediate Family” as used herein shall mean spouse; provided that, lineal descendant or antecedent, father, mother, brother or sister. In in each such case, the transferee or other recipient shall agree in writing to receive and hold the Released Shares so transferred subject to all of the provisions of this Agreement, including but not limited to this Section, and there shall be no further transfer of such Released Shares except in accordance with the terms of this Section.

In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares except in accordance with the terms of this Section.

In such case, the transferee or other recipient shall receive and hold the Shares so transferred subject to the provisions of this Section, and there shall be no further transfer of such Shares except in accordance with the terms of this Section.
