Exceptions to Transfer Restrictions. The restrictions on transfer and other provisions set forth in this Section 3(c) and in the Private Placement Legend shall not be applicable with respect to any Restricted Note following the Resale Restriction Termination Date for such Note, or with respect to any Note sold pursuant to Regulation S, following the termination of the Restricted Period for such Note, and also shall not be applicable in the case of the exchange of Notes for Exchange Notes pursuant to the Exchange Offer or for Private Exchange Notes pursuant to the Registration Rights Agreement.
