Common use of Excess Available Principal Amounts Sharing Clause in Contracts

Excess Available Principal Amounts Sharing. (a) The Shared Excess Available Principal Amount allocable to Series 2005-C on any Payment Date shall be treated as part of the Series 2005-C Available Principal Amount for such Payment Date. (b) The Shared Excess Available Principal Amount allocable to Series 2005-C with respect to any Payment Date shall mean an amount equal to the Series 2005-C Available Principal Amount Shortfall, if any, for such Payment Date; provided, however, that if the aggregate amount of Shared Excess Available Principal Amounts for all series of Notes for such Payment Date is less than the Aggregate Series Available Principal Amount Shortfall for such Payment Date, then the Shared Excess Available Principal Amount allocable to Series 2005-C on such Payment Date shall equal the product of (i) Shared Excess Available Principal Amounts for all series of Notes and (ii) a fraction, the numerator of which is the Series 2005-C Available Principal Amount Shortfall for such Payment Date and the denominator of which is the aggregate amount of Aggregate Series Available Principal Amount Shortfall for all series of Notes for such Payment Date. (c) Any Shared Excess Available Principal Amount not required to be applied to make a payment or deposit in respect of a series of Notes shall be applied as Excess Available Principal Amounts pursuant to Section 4.06 of the Sale and Servicing Agreement.

Excess Available Principal Amounts Sharing.
