Excess Operating Expenses. Excess Operating Expenses. If estimated payments theretofore made for such Operating Year by Tenant exceed Tenant's required payment on account thereof for such Operating Year, according to such statement, Landlord shall credit the amount of overpayment against subsequent obligations of Tenant with respect to Operating Expenses (or refund such overpayment within thirty (30) days if the Lease Term has ended and Tenant has no further obligation to Landlord); but, if the required payments on account thereof for such Operating Year are greater than the estimated payments (if any) theretofore made on account thereof for such Operating Year, Tenant shall pay make payment to Landlord a monthly installment equal to one-twelfth within thirty (30) days after being so advised by Landlord. Landlord shall have the same rights and remedies for the nonpayment by Tenant of Tenant’s Pro Rata Share any payments due on account of Landlord’s estimate of the Excess Operating Expenses. (2) Notwithstanding the foregoing Section 4.B.(1), Tenant will be entitled to an abatement of Tenant’s Pro Rata Share of Excess Operating Expenses during the first twelve (12) months of the Term commencing on the Commencement Date (the “Abatement”). In the event of a Monetary Default (defined below) by Tenant under this Lease during the initial Term beyond any applicable notice and cure periods, the Abatement shall be amortized on a straight-line basis and any unamortized amounts of the Abatement at the time of default shall become immediately due and payable. Further, should Tenant be in an event of default (regardless of any notice and cure periods) under this Lease at any time any installment of the Abatement is otherwise due to be applied, such installment of the Abatement will not be provided until the event of default has been cured.

In addition to the Monthly Base Rent required to be paid by Tenant pursuant to Section 1.8 above, during each month during the Term (after the Base Year), Tenant shall pay to Landlord, as Additional Rent (as defined below), the amount by which Tenant’s Pro Rata Share Percentage of the amountOperating Expenses, if anyTaxes, by which Operating Expenses (defined in Section 4.D) Insurance Costs and Utilities Costs for each such calendar year during exceeds the Term exceed Operating Expenses for the Base Year (the “Excess Operating Expenses”). If Operating Expenses in any calendar year decrease below the amount of Operating Expenses for the Base Year, Tenant’s Pro Rata Share of Excess Operating Expenses for that calendar year Taxes, Insurance Costs and Utilities Costs (such amounts shall be $0referred to in this Section 1.18 as the “Excess Expenses,” “Excess Taxes,” “Excess Insurance Costs,” and “Excess Utilities Costs,” respectively), in the manner and at the times set forth in the following provisions of this Section 1.18. In no event shall No reduction in Operating Expenses, Taxes, Insurance Costs, or Utilities Costs after the Base Year will reduce the Monthly Base Rent be reduced if Operating Expenses for any calendar year are less than Operating Expenses for the Base Year. On payable by Tenant hereunder or about January 1 entitle Tenant to receive a credit against future installments of each calendar year, Landlord shall provide Tenant with a good faith estimate of the Excess Operating Expenses for such calendar year during the Term. On or before the first day of each month, Tenant shall pay to Landlord a monthly installment equal to one-twelfth of Tenant’s Pro Rata Share of Landlord’s estimate of the Excess Operating Expenses. If Landlord determines that its good faith estimate of the Excess Operating Expenses was incorrect, Landlord may provide Tenant with a revised estimate. After its receipt of the revised estimateTaxes, Tenant’s monthly payments shall be based upon the revised estimateInsurance Costs, Utilities Costs, or other Additional Rent due hereunder. If Landlord does not provide Tenant with furnish a particular service or work (the cost of which, if furnished by Landlord would be included in Operating Expenses, Insurance Costs, Utilities Costs or Taxes) to a tenant (other than Tenant) that has undertaken to perform such service or work in lieu of receiving it from Landlord, then Operating Expenses, Insurance Costs, Utilities Costs and/or Taxes, as applicable, shall be considered to be increased by an estimate amount equal to the additional Operating Expenses, Insurance Costs, Utilities Costs and/or Taxes that Landlord would reasonably have incurred had Landlord furnished such service or work to that tenant. If Landlord adds an expense category at any time after the Base Year, Landlord agrees to adjust the Base Costs to include the actual amount charged to Landlord for a consecutive twelve (12) month period. Notwithstanding anything to the contrary contained herein, Tenant’s Percentage of Operating Expenses (excluding Operating Expenses beyond the reasonable control of Landlord which are Insurance Costs, Taxes, Utilities Costs and snow removal) for each subsequent year of the Excess Term shall not exceed Tenant’s Percentage of the Operating Expenses for the prior year(s) by January 1 of a calendar year, Tenant shall continue to pay monthly installments based on the most recent estimate(smore than four percent (4%) until Landlord provides Tenant with the new estimate. Upon delivery per annum compounded during any subsequent year of the new estimate, an adjustment shall be made for any month for which Tenant paid monthly installments based on the same year’s prior incorrect estimate(s). Tenant shall pay Landlord the amount of any underpayment within 30 days after receipt of the new estimate. Any overpayment shall be credited against the next sums due and owing by Tenant or, if no further Rent is due, refunded directly to Tenant within 30 days of determination. The obligation of Tenant to pay for Excess Operating Expenses as provided herein shall survive the expiration or earlier termination of this LeaseTerm.
