Excess Service Requirements. If Conexant’s demand exceeds the Company’s Probe Services capacity in Newport Beach, Conexant shall offer any available Probe Services capacity to Company at a Conexant facility and assure this capacity is offered at the same cost or less then the cost that would have been incurred by Company had the Probe Services been performed at the Company.
