Exclusion from Governmental Programs. Each party represents and warrants to the other that, as of the Effective Date to its knowledge, neither it, nor any individuals employed or engaged by it, nor any of its respective members, officers, directors, and in the case of Xoft, any other person or entity that has an ownership or investment interest in Xoft, is now, is about to be or has: (a) been excluded, debarred, suspended or been otherwise determined to be, or identified as, ineligible to participate in any governmental program, including but not limited to Medicare and Medicaid (collectively, the "Governmental Programs"); (b) received any information or notice, or become aware that it is the subject of any investigation or review regarding its participation in any Government Programs; or (c) been convicted of any crime relating to any Governmental Program. Each party agrees to notify the other party promptly if it becomes aware of any of the foregoing information during the Term. Any breach of this representation and warranty shall give the other party the right to terminate the Agreement immediately for cause. Such party shall immediately give notice to the other if the foregoing representation and warranty is untrue at any time during the Term of this Agreement.
Exclusion from Governmental Programs. Vendor warrants that neither it nor any of its directors, officers, or owners, and to the best of its knowledge, its employees and agents providing services hereunder, have been: (i) convicted of a criminal offense related to healthcare, debarred, suspended, or declared ineligible, (ii) excluded from participating with Medicare, Medicaid or any other plan or program that provides health benefits, whether directly through insurance or otherwise, which is funded directly, in whole or in part, by the United States Government or any state health care program, or (iii) or been the subject of any civil or criminal proceeding in which any governmental entity alleged fraud or similar wrongdoing by Vendor. This shall be an ongoing representation and warranty during the term of this Agreement, and Vendor shall immediately notify Beaumont of any change in the status of these representations. Xxxxxxxx may terminate this Agreement immediately upon the occurrence or notification of any of the above.

Each Party represents that neither it nor any of its directors, trustees, officers or employees, have been convicted of a criminal offense related to healthcare, debarred, suspended, declared ineligible, or excluded from participating with Medicare, Medicaid or any other governmental plan or program that provides health benefits, whether directly through insurance or otherwise, which is funded directly, in whole or in part, by the United States Government or any State health care program. This shall be an ongoing representation during the Term of this Agreement, and each Party shall notify the other of any change in the status of the representations set forth in this section. A Party may terminate this Agreement immediately upon the occurrence or notification of any of the above.

Each party represents and warrants that, as of the Effective Date, it has not, nor have any of its employees: (i) been excluded, debarred, suspended or been otherwise determined to be, or identified as, ineligible to participate in any federal health care program (collectively, the “Governmental Programs”) or is about to be excluded, debarred, suspended or otherwise determined to be, or identified as, ineligible to participate in any Governmental Program; (ii) received any information or notice, or become aware, by any means or methods, that it is the subject of any investigation or review regarding its participation in any Government Programs; or (iii) been convicted of any crime relating to any Governmental Program. The parties agree to notify each other within three (3) business days of becoming aware of any of the foregoing information, notice, actions or events during the Term of this Lease.
