Status of the. “Fair Board”. It is hereby understood, agreed and declared that the Fair Board is an independent contractor and not the agent or employee of City and that no liability shall attach to City by reason of entering into this agreement, except as may be provided herein.
Status of the. “Vortex”. It is hereby understood, agreed and declared that Vortex is an independent contractor and not the agent or employee of City and that no liability shall attach to City by reason of entering into this agreement, except as may be provided herein.

23.3.1 The Implementation Plan:
a) shall be attached to, but does not form part of, the FSGA;
b) does not create legal obligations, unless the Parties otherwise agree;
c) does not alter any rights or obligations set out in the FSGA;
d) is not to be used to interpret the FSGA; and
e) is not a treaty or a land claims agreement within the meaning of the
Status of the. “Stevenson WiFi”. It is hereby understood, agreed and declared that Stevenson WiFi is an independent contractor and not the agent or employee of City and that no liability shall attach to City by reason of entering into this agreement, except as may be provided herein.
Status of the. MTO
1. The MTO shall have legal personality, and shall be accorded by each of its Members such legal capacity as may be necessary for the exercise of its functions.
2. The MTO shall be accorded by each of its Members such privileges and immunities as are necessary for the exercise of its functions.
3. The officials of the MTO and the representatives of the Members shall similarly be accorded by each of its Members such privileges and immunities as are necessary for the independent exercise of their functions in connection with the MTO.
4. The privileges and immunities to be accorded by a Member to the MTO, its officials, and the representatives of its Members shall be similar to the privileges and immunities stipulated in the Convention on the Privileges and Immunities of the Specialized Agencies, approved by the General Assembly of the United Nations on 21 November 1947.
5. The MTO may conclude a headquarters agreement.

COMPANY To the best of the Selling Shareholders knowledge and belief, the Company has not conducted any business, incurred any indebtedness, liability or obligation, entered into any contract or arrangement, made any commitment or engaged in any activity prior to the Closing Date other than in the ordinary course of business.

Status of the. Parties Nothing in this Agreement, nor in the ------------------------ relationship between Exxon and POC and any Affiliate of either Exxon or POC, is intended to create nor shall be deemed to constitute a partnership or joint venture or any other similar relationship.
