Common use of Exclusive Duties Clause in Contracts

Exclusive Duties. During the Term, you will devote substantially all your working time, attention and energies to the business of the Company and its affiliates. However, nothing in this Letter Agreement shall preclude you from: (i) serving on the boards of a reasonable number of business entities, trade associations and charitable organizations (with service on business boards being subject to the prior approval by the Board, or its Compensation Committee (the “Committee”), such approval not to be unreasonably withheld or delayed, (ii) engaging in charitable activities and community affairs, (iii) accepting and fulfilling a reasonable number of speaking engagements, and (iv) managing your personal investments and affairs; provided that such activities do not either individually or in the aggregate materially interfere with the proper performance of your duties and responsibilities hereunder.
