Common use of Exclusive Events Requiring Dissolution Clause in Contracts

Exclusive Events Requiring Dissolution. The Partnership shall be dissolved only upon the earliest to occur of the following events (a “Dissolution Event”): (a) the expiration of the specific term, if any, set forth in Section 2.5; (b) at any time at the election of the General Partner and/or Starwood in writing; (c) at any time there are no Partners (unless otherwise continued in accordance with the Act); or (d) the entry of a decree of judicial dissolution pursuant to Section 18-802 of the Act.

Exclusive Events Requiring Dissolution. The Partnership shall be dissolved only upon the earliest to occur of the following events (a “Dissolution Event”): (a) upon notice from any Partner to the expiration of other Partners delivered at any time after the specific term, if any, set forth in Section 2.5date that is ten (10) years after the Effective Date; (b) at any time at the election of all of the General Partner and/or Starwood Partners in writing; (c) at any time there are no Partners (unless otherwise continued in accordance with the Act); or (d) the entry of a decree of judicial dissolution pursuant to Section 18-802 of the Act.

The Partnership shall be dissolved only upon the earliest to occur of the following events (a “"Dissolution Event”"): (a) the expiration of the specific term, if any, set forth in Section 2.5; (b) at any time at the election of the General Partner and/or Starwood in writingPartner, subject to the consent of the Limited Partners if required pursuant to Section 8.3; (cb) at any time there are no Partners (unless otherwise continued in accordance with the Act); or (dc) the entry of a decree of judicial dissolution pursuant to Section 18-802 of the Act.
