Exclusive License and Right to Sublicense. During the Term, Xxxxxxxxx hereby grants Lilly an exclusive license (except as provided under Article 8.1(b)), royalty-bearing license, including the right to grant sublicenses, under Xxxxxxxxx’x Patents, Xxxxxxxxx Know-How and Regulatory Approvals to Develop, use, import and Commercialize (but, for clarity, not to make or have made) Product(s) in the Field in the Territory.
