Common use of Exclusive Services Clause in Contracts

Exclusive Services. Executive shall at all times faithfully, industriously and to the best of her ability, experience and talent perform all of the duties that may be assigned to Executive hereunder and shall devote substantially all of her productive time and efforts to the performance of such duties. Subject to the terms of the Proprietary Information and Inventions Agreement referred to in Section 5(b), this shall not preclude Executive from (i) serving on industry, trade, civic, or charitable boards or committees; or (ii) managing personal, family and other investments; provided that such activities do not interfere with her duties to the Company, as determined in good faith by the CEO or the Board.

Exclusive Services. Executive may join the Boardboards of directors of other companies as long as these commitments do not interfere with her duties to the Company and such companies do not directly compete with the Company, with the prior approval of the CEO, which approval shall not be unreasonably withheld.

The Company also acknowledges Executive’s existing board position with Xxxxxxxx Labs, which Executive is entitled to maintain during her employment with the Company, provided that it complies with the requirements of this paragraph.
