Common use of Exclusive Services Clause in Contracts

Exclusive Services. For so long as the Executive is employed by the Company, the Executive shall devote the Executive’s full business attention to the Executive’s duties hereunder, shall faithfully serve the Company, shall in all respects conform to and comply with the lawful and good faith directions and instructions given to the Executive by the Company, and shall use the Executive’s best efforts to promote and serve the interests of the Company. Further, unless the Company consents in writing, the Executive shall not, directly or indirectly, render services to any other person or organization or otherwise engage in activities that would interfere significantly with the Executive’s faithful performance of the Executive’s duties hereunder. Notwithstanding the foregoing, the Executive may (i) serve on one corporate board, provided the Executive receives prior permission from the Board of Directors (the “Board”); and (ii) serve on corporate, civic, children sports organization or charitable boards or engage in charitable activities without remuneration therefor, provided that such activity does not contravene the first sentence of this Section 1(b).

Notwithstanding the foregoing, the Executive may (i) serve on one for-profit corporate boardboards, provided the Executive receives prior permission from the Board of Directors (the “Board”); and (ii) serve on corporate, civic, children sports organization or charitable or other non-profit boards or engage in charitable activities without remuneration therefor; and (iii) manage personal investments, provided that such activity does not contravene the first sentence of this Section 1(b)1(c) or any other provision of this Agreement.

Further, unless the Company consents in writing, the Executive shall not, directly or indirectly, render material services to any other person or organization without the consent of the Company pursuant to authority granted by the Lead Director of the Board or otherwise engage in activities that would interfere significantly with the Executive’s faithful performance of the Executive’s his duties hereunder. Notwithstanding the foregoing, the Executive may (i) serve on one corporate boardcorporate, civic or charitable boards provided that, on and after the Effective Date hereof, the Executive provides the Lead Director of the Board, in writing, with a list of such boards and receives prior permission from the consent of the Lead Director of the Board of Directors (the “Board”); to serve on such boards and (ii) serve on corporate, civic, children sports organization or charitable boards manage personal investments or engage in charitable activities without remuneration thereforactivities, provided that such activity does not contravene the first sentence of this Section 1(b).

Notwithstanding the foregoing, the Executive may (i) serve on one corporate boardcorporate, civic or charitable boards provided that, on and after the Effective Date hereof, the Executive provides the lead independent director of the Board, in writing, with a list of such boards and receives prior permission from the consent of the lead independent director of the Board of Directors (the “Board”); to serve on such boards and (ii) serve on corporate, civic, children sports organization or charitable boards manage personal investments or engage in charitable activities without remuneration thereforactivities, provided that such activity does not contravene the first sentence of this Section 1(b).

Notwithstanding the foregoing, the Executive may (i) serve on one corporate board, provided the Executive receives prior permission from the Board of Directors (the “Board”); and (ii) serve on corporate, civic, children sports organization or charitable boards or engage in charitable activities without remuneration therefor, provided that such activity does not contravene the first sentence of this Section 1(b).

Further, unless the Company consents in writing, the Executive shall not, directly or indirectly, render services to any other person or organization without the consent of the Board or otherwise engage in activities that would interfere significantly with the Executive’s faithful performance of the Executive’s his duties hereunder. Notwithstanding the foregoing, the Executive may serve on (i) serve on one corporate boardboards, provided with the Executive receives Board’s prior permission from the Board of Directors (the “Board”); and consent, or (ii) serve on corporate, civic, children sports organization civic or charitable boards or engage in charitable activities without remuneration therefortherefore, provided that such activity does activities do not contravene the first sentence of this Section 1(b). Additionally, notwithstanding the foregoing, the Executive may manage his personal investments, and serve as an executor, trustee, or in a similar fiduciary capacity in connection therewith, provided that such activities do not contravene the first sentence of this Section 1(b).
