Common use of Execution and Delivery of a Note Guarantee Clause in Contracts

Execution and Delivery of a Note Guarantee. To evidence the Note Guarantee, the Guarantor hereby agrees that a notation of such Note Guarantee substantially in the form attached as Exhibit B hereto will be endorsed by an Officer of the Guarantor on each Note authenticated and delivered by the Trustee and that this Indenture will be executed on behalf of the Guarantor by one of its Officers. The Guarantor hereby agrees that the Note Guarantee will remain in full force and effect notwithstanding any failure to endorse on each Note a notation of such Note Guarantee. If an Officer whose signature is on this Indenture or on the Note Guarantee no longer holds that office at the time the Trustee authenticates the Note on which a Note Guarantee is endorsed, the Note Guarantee will be valid nevertheless. The delivery of any Note by the Trustee, after the authentication thereof hereunder, will constitute due delivery of the Note Guarantee set forth in this Indenture on behalf of the Guarantor.

(a) To further evidence the Note GuaranteeGuarantee set forth in Article X, each of the Guarantor Guarantors hereby agrees that a notation of relating to such Note Guarantee substantially Guarantee, as set forth in the form attached as Exhibit B hereto will B, shall be endorsed by an Officer of the Guarantor on each Note entitled to the benefits of the Note Guarantee authenticated and delivered by the Trustee and executed by either manual or facsimile signature of an officer of such Guarantor, or in the case of a Guarantor that this Indenture will be executed on behalf is a limited partnership, an officer of the Guarantor by one general partner of its Officerseach Guarantor. The Guarantor Each of the Guarantors hereby agrees that the Note Guarantee will set forth in Article X shall remain in full force and effect notwithstanding any failure to endorse on each Note a notation of such relating to the Note Guarantee. If an Officer any officer of the Guarantor, or in the case of a Guarantor that is a limited partnership, any officer of the general partner of the Guarantor, whose signature is on this Indenture or on the a Note Guarantee no longer holds that office at the time the Trustee authenticates the such Note on which a Note Guarantee is endorsedor at any time thereafter, the Note Guarantee will of such Note shall be valid nevertheless. The delivery of any Note by the Trustee, after the authentication thereof hereunder, will shall constitute due delivery of the Note Guarantee set forth in this Indenture on behalf of the GuarantorGuarantors.
