Execution and Delivery of Ancillary Agreements. Parent or its applicable Affiliate shall have executed and delivered to Seller or its applicable Affiliate each of the Transition Services Agreement and, if to be executed pursuant to Section 5.16(b), the Common Interest and Cooperation Agreement, each of which shall be in full force and effect as of the Closing.
