Common use of Execution and Delivery of Guarantee Clause in Contracts

Execution and Delivery of Guarantee. To evidence the Guarantee set forth in Section 1501 hereof, the Guarantor agrees that a notation of the Guarantee shall be endorsed on each Security of such series that is guaranteed by the Guarantor, and authenticated and delivered by the Trustee, and that this Indenture shall be executed on behalf of the Guarantor by two Officers of the Guarantor. The Guarantor agrees that the Guarantee set forth in this Article 15 shall remain in full force and effect and apply to all the Securities of such series that are guaranteed by the Guarantor notwithstanding any failure to endorse on each Security of such series a notation of the Guarantee. If an Officer whose facsimile signature is on a Security of such series or a notation of Guarantee no longer holds that office at the time the Trustee authenticates such Security on which the Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the Guarantor.

Each of the Guarantor. The Guarantor Guarantors agrees that the its Guarantee set forth in this Article 15 Section 10.01 shall remain in full force and effect and apply to all the Debt Securities of such any series that are guaranteed by the Guarantor it guarantees notwithstanding any failure to endorse on each Debt Security of evidencing such series a notation of the such Guarantee. If an Officer whose facsimile signature is on a such Debt Security of such series or a notation of Guarantee no longer holds that office at the time the Trustee authenticates such a Debt Security on which the a Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Debt Security on which a guarantee is endorsed by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the GuarantorGuarantors.

The Each Guarantor hereby agrees that the Guarantee set forth in this Article 15 Section 14.01 hereof shall remain in full force and effect and apply to all the Securities of such series that are guaranteed by the Guarantor notwithstanding any failure to endorse on each such Security of such series a notation of the such Guarantee. If an Officer of a Guarantor whose facsimile signature is on a Security of such series or a notation of the Guarantee no longer holds that office at the time the Trustee authenticates such the Security on which the Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Security of a series entitled to the benefits of the Guarantees provided by this Article 14 by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the each Guarantor.

The Guarantor agrees that the Guarantee set forth in this Article 15 shall remain in full force and effect and apply to all the Debt Securities of such series that are guaranteed by the Guarantor notwithstanding any failure to endorse on each Debt Security of such series a notation of the Guarantee. If an Officer officer whose facsimile signature is on a Debt Security of such series or a notation of Guarantee no longer holds that office at the time the Trustee authenticates such the Debt Security on which the Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Debt Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the Guarantor.

If an Officer whose facsimile signature is on a Security of such series or a notation of Guarantee endorsed on a Security of any series that are guaranteed by the Guarantor no longer holds that office at the time the Trustee authenticates such Security on which the Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the Guarantor.

If an Officer whose facsimile signature is on a Security of such series or a notation of Guarantee no longer holds that office at the time the Trustee authenticates such Security on which the Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the Guarantor.

To evidence the its Guarantee set forth in Section 1501 10.1 hereof, the Guarantor hereby agrees that a notation of the Guarantee in such form as shall be endorsed on each Security of such series that is guaranteed established by the Guarantoror pursuant to a Board Resolution, and authenticated and supplemental indenture hereto or Officer’s Certificate delivered by the Trusteepursuant to Section 2.2, and that this Indenture shall be executed on behalf of the Guarantor by two Officers an Officer of the GuarantorGuarantor on each Guaranteed Series of Securities authenticated and delivered by the Trustee. The Guarantor hereby agrees that the its Guarantee set forth in this Article 15 shall Section 10.1 hereof will remain in full force and effect and apply to all the Securities of such series that are guaranteed by the Guarantor notwithstanding any failure to endorse on each Security execute a Guarantee with respect to any Guaranteed Series of such series a notation of the GuaranteeSecurities. If an Officer whose facsimile signature is on a Security of such series or a notation of Guarantee no longer holds that office at the time the Trustee authenticates such Security on as to which the such Guarantee is endorsedrelates, the Guarantee shall be valid nevertheless. The delivery of any Security Guaranteed Series of Securities by the Trustee, after the authentication thereof hereunder, shall will constitute due delivery of the Guarantee of such Guaranteed Series of Securities set forth in this Indenture and endorsed on such Security on behalf of the Guarantor.

The Guarantor agrees that the Guarantee set forth in this Article 15 shall remain in full force and effect and apply to all the Debt Securities of such series that are guaranteed by the Guarantor notwithstanding any failure to endorse on each Debt Security of such series a notation of the Guarantee. If an Officer officer whose facsimile signature is on a Debt Security of such series or a notation of Guarantee no longer holds that office at the time the Trustee authenticates such the Debt Security on which the Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Debt Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the Guarantor.

The Guarantor agrees that the Guarantee set forth in this Article 15 16 shall remain in full force and effect and apply to all the Debt Securities of such series that are guaranteed by the Guarantor notwithstanding any failure to endorse on each Debt Security of such series a notation of the Guarantee. If an Officer officer whose facsimile signature is on a Debt Security of such series or a notation of Guarantee no longer holds that office at the time the Trustee authenticates such the Debt Security on which the Guarantee is endorsed, the Guarantee shall be valid nevertheless. The delivery of any Debt Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the Guarantee set forth in this Indenture and endorsed on such Security on behalf of the Guarantor.
