Common use of Execution and Delivery of Guaranty Clause in Contracts

Execution and Delivery of Guaranty. Each Guarantor shall be deemed to have signed on each Security issued hereunder the notation of guarantee set forth on the form of the Securities attached hereto as Exhibit A to the same extent as if the signature of such Guarantor appeared on such Security. The delivery of any Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the guaranty set forth in Section 12.1 on behalf of each Guarantor. The notation of a guaranty set forth on any Security shall be null and void and of no further effect with respect to the guaranty of any Guarantor which, pursuant to Section 12.4 or Section 12.5, is released from such guaranty.

Execution and Delivery of Guaranty. Each Guarantor shall shall, by virtue of such Guarantor's execution and delivery of a Guarantee substantially in the form annexed hereto as Exhibit B, be deemed to have signed on each Security issued hereunder the notation of guarantee set forth on the form of the Securities attached hereto as Exhibit A to the same extent as if the signature of such Guarantor appeared on such Security. The delivery of any Security by the Trustee, after the authentication thereof hereunder, shall constitute due delivery of the guaranty set forth in Section 12.1 on behalf of each Guarantor. The notation of a guaranty set forth on any Security shall be null and void and of no further effect with respect to the guaranty of any Guarantor which, pursuant to Section 12.4 or Section 12.5, is released from such guaranty.
