Common use of Execution, etc Clause in Contracts

Execution, etc. This Pledge Agreement has been duly executed and delivered by the Pledgor, and constitutes a legal, valid and binding obligation of the Pledgor, enforceable against the Pledgor in accordance with its terms. No authorization, approval, or other action by, and no notice or filing with, any governmental authority, regulatory body or any other Person is required either: (i) for the pledge by the Pledgor of any Collateral pursuant to this Pledge Agreement or for the due execution, delivery and performance of this Pledge Agreement by the Pledgor, or (ii) for the disposition of such Pledged Shares pursuant to the exercise by the Lender of the remedies in this Pledge Agreement except by laws affecting the offering and sale of securities generally.
