Common use of Execution of Certificates Clause in Contracts

Execution of Certificates. The Certificates shall be signed on behalf of the Owner Trustee by an authorized officer of SSB. Such signatures may be the manual or facsimile signatures of such officer and minor errors or defects in any reproduction of any such signature shall not affect the validity or enforceability of any Certificate which has been duly authenticated and delivered by the Indenture Trustee. In case any officer of SSB who shall have signed any of the Certificates shall cease to be such officer before the Certificate so signed shall be authenticated and delivered by the Indenture Trustee or disposed of by SSB, such Certificate nevertheless may be authenticated and delivered or disposed of as though the person who signed such Certificate had not ceased to be such officer of SSB; and any Certificate may be signed on behalf of the Owner Trustee by such person or persons as, at the actual date of the execution of such Certificate, shall be the proper officers of SSB, although at the date of the execution and delivery of this Indenture any such person was not such an officer. Certificates bearing the facsimile signatures of individuals who were authorized officers of SSB at the time such Certificates were issued shall bind the Owner Trustee, notwithstanding that such individuals or any of them have ceased to hold such offices prior to the authentication and delivery of such Certificates or did not hold such offices at the respective dates of such Certificates.

Execution of Certificates. (a) The Certificates shall be signed executed by or on behalf of the Owner Trustee Company by the signature of an authorized officer Authorized Officer of SSBthe Company. Such signatures signature may be the manual or facsimile signature of such Authorized Officer. With the delivery of this Indenture, the Company is furnishing, and from time to time thereafter may furnish, a certificate substantially in the form of Exhibit B hereto (an “Authorization Certificate”) identifying and certifying the incumbency and specimen (or facsimile) signatures of such officer the Authorized Officers. Until the Trustee receives a subsequent Authorization Certificate, the Trustee shall be entitled to conclusively rely on the last Authorization Certificate delivered to it for purposes of determining the Authorized Officers. Typographical and other minor errors or defects in any reproduction of any such signature shall not affect the validity or enforceability of any Certificate which has been duly authenticated and delivered by the Indenture Trustee. In case any officer of SSB WTC who shall have signed any of the Certificates shall cease to be such officer before the Certificate so signed shall be authenticated and delivered by the Indenture Trustee or disposed of by SSBWTC, such Certificate nevertheless may be authenticated and delivered or disposed of as though the person who signed such Certificate had not ceased to be such officer of SSBWTC; and any Certificate may be signed on behalf of the Owner Trustee by such person or persons as, at the actual date of the execution of such Certificate, shall be the proper officers of SSBWTC, although at the date of the execution and delivery of this Indenture any such person was not such an officer. Certificates bearing the facsimile signatures of individuals who were authorized officers of SSB WTC at the time such Certificates were issued shall bind the Owner Trustee, notwithstanding that such individuals or any of them have ceased to hold such offices prior to the authentication and delivery of such Certificates or did not hold such offices at the respective dates of such Certificates.

Execution of Certificates. The Certificates Each Certificate shall be signed in the name and on behalf of the Owner Trustee Depositor manually or by an authorized officer facsimile signature of SSB. Such signatures may be the President or any Vice President thereof attested by the manual or facsimile signatures signature of the Secretary or an Assistant Secretary thereof, prior to the authentication of the Certificate, and the delivery of such officer and minor errors or defects in any reproduction of any such signature shall not affect the validity or enforceability of any Certificate which has been duly authenticated and delivered by the Indenture TrusteeTrustee upon an Depositor Order, after the authentication thereof hereunder, shall constitute due delivery of such Certificate on behalf of the Depositor. In case any officer of SSB the Depositor who shall have signed signed, or whose facsimile signature appears on any of the Certificates Certificates, shall cease to be such officer before the Certificate so signed Certificates shall be have been authenticated and delivered by the Indenture Trustee or disposed of by SSBof, such Certificate nevertheless may be authenticated and delivered or disposed of as though the person Person who signed such Certificate had not ceased to be such officer of SSB; and any officer. Any Certificate may be signed on behalf of the Owner Trustee Depositor by such person or persons as, officer as at the actual date of the execution of such Certificate, Certificate shall be the proper officers officer of SSBthe Depositor, although at the date of the execution and delivery of this Indenture Agreement any such person Person was not such an officer. Certificates bearing the facsimile signatures of individuals who were authorized officers of SSB at the time Only such Certificates were issued as shall bind bear thereon a certificate of authentication substantially in the Owner Trusteeform herein recited, notwithstanding that such individuals or any executed by the Trustee by manual signature of them have ceased to hold such offices prior one of its authorized officers, shall be entitled to the authentication benefits of this Agreement or be valid or obligatory for any purpose. Such certificate by the Trustee upon any Certificate executed by the Depositor shall be conclusive evidence that the Certificate so authenticated has been duly authenticated and delivery delivered hereunder and that the Holder is entitled to the benefits of such Certificates or did not hold such offices at the respective dates of such Certificatesthis Agreement.

Certificates bearing the facsimile signatures of individuals who were authorized officers of SSB NBD at the time such Certificates were issued shall bind the Owner Trustee, notwithstanding that such individuals or any of them have ceased to hold such offices prior to the authentication and delivery of such Certificates or did not hold such offices at the respective dates of such Certificates.
