Common use of Execution of Supplemental Agreements Clause in Contracts

Execution of Supplemental Agreements. In executing, or accepting the additional agencies created by, any supplemental agreement permitted by this Article or the modifications thereby of the agencies created by this Agreement, the Purchase Contract Agent shall be provided, and (subject to Section 7.01) shall be fully authorized and protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental agreement is authorized or permitted by this Agreement and that any and all conditions precedent to the execution and delivery of such supplemental agreement have been satisfied. The Purchase Contract Agent may, but shall not be obligated to, enter into any such supplemental agreement which affects the Purchase Contract Agent's own rights, duties or immunities under this Agreement or otherwise.

Execution of Supplemental Agreements. The Stock Purchase Contract Agent may, but shall not be obligated to, enter into any such supplemental agreement which affects the Stock Purchase Contract Agent's own rights, duties or immunities under this Agreement or otherwise.

In executing, or accepting the additional agencies created by, any supplemental agreement permitted by this Article or the modifications thereby of the agencies created by this Agreement, the Purchase Contract Agent and the Trustee shall be provided, and (subject to Section 7.01) shall be fully authorized and protected in relying upon, an Officers' ’ Certificate and an Opinion of Counsel stating that the execution of such supplemental agreement is authorized or permitted by this Agreement and that any and all conditions precedent to the execution and delivery of such supplemental agreement have been satisfied. The Purchase Contract Agent may, but shall not be obligated to, enter into any such supplemental agreement which that affects the Purchase Contract Agent's ’s own rights, duties or immunities under this Agreement or otherwiseotherwise and shall have the right to indemnity as provided in Article 7 of this Agreement.

The Purchase Contract Agent may, but shall not be obligated to, enter into any such supplemental agreement which affects the Purchase Contract Agent's ’s own rights, duties or immunities under this Agreement or otherwise. The Purchase Contract Agent shall enter into all other supplemental agreements at the request of the Company.

The Stock Purchase Contract Agent may, but shall not be obligated to, enter into any such supplemental agreement which affects the Stock Purchase Contract Agent's ’s own rights, duties or immunities under this Agreement or otherwise.

Execution of Supplemental Agreements. In executing, or accepting the additional agencies or duties created by, any supplemental agreement permitted by this Article or the modifications thereby of the agencies or duties created by this Agreement, each of the Purchase Contract Agent and the Book-Entry Unit Depositary shall be provided, entitled to receive and (subject to Section 7.01Sections 601 and 1201, respectively) shall be fully authorized and protected in relying upon, an Officers' Certificate and an Opinion of Counsel stating that the execution of such supplemental agreement is authorized or permitted by this Agreement Agreement. Each of the Agent and that any and all conditions precedent to the execution and delivery of such supplemental agreement have been satisfied. The Purchase Contract Agent Book-Entry Unit Depositary may, but shall not be obligated to, enter into any such supplemental agreement which that affects the Purchase Contract Agent's own or the Book-Entry Unit Depositary's respective rights, duties or immunities under this Agreement or otherwise.

Execution of Supplemental Agreements. In executing, or accepting the additional agencies created by, any supplemental agreement permitted by this Article or the modifications thereby of the agencies created by this Agreement, the Purchase Contract Agent shall be provided, and (subject to Section 7.019.01) shall be fully authorized and protected in relying upon, an Officers' Officer’s Certificate and an Opinion of Counsel stating that the execution of such supplemental agreement is authorized or permitted by this Agreement Agreement, and that any and all conditions precedent to the execution and delivery of such supplemental agreement have been satisfied. The Purchase Contract Agent may, but shall not be obligated to, enter into any such supplemental agreement which that affects the Purchase Contract Agent's ’s own rights, duties or immunities under this Agreement or otherwise.

The Purchase Contract Agent may, but shall not be obligated to, enter into any such supplemental agreement which affects the Purchase Contract Agent's own rights, duties duties, privileges, protections, indemnities, liabilities or immunities under this Agreement or otherwise.
